YipitData Portal Use Policy

This Use Policy (this "Policy") governs access to and use of web portal(s) (referred to as the “Portal”) made available by Yipit, LLC (together with its affiliates, “YipitData”, “we”, or “our”) to its customers. YipitData provides various data products, tools, content, and analysis (the “Products”) to its customers (“Customer”, “you”, or “your”) through the Portal.

This Policy covers the requirements for accessing the Portal and the standards of conduct expected of all users. It is incorporated by reference into and forms part of your Master Product and Services Agreement (“MSA”) with YipitData. This Policy should be read alongside the MSA, including any amendments or addendums, and our Privacy Notice. It is not intended to and does not replace or supersede the MSA, which governs the commercial terms of your relationship with YipitData, including subscription terms, fees, warranties, and limitations of liability. In the event of any conflict between this Policy and the MSA, the MSA governs.

By accessing the Portal, you agree to be bound by this Policy. If you do not agree to this Policy, you must not access or use the Portal.

We may revise and update this Policy from time to time in our sole discretion. We will post the revised terms on the Portal with a “last updated” date. All changes are effective immediately when we post them. If you continue to use the Portal after the revisions take effect, you agree to be bound by the revised Policy.

1. Requirements for Use.

  1. Eligibility. The Portal and the Products are intended solely for use by Authorized Users of business customers that have an active MSA with YipitData, and not for use by consumers or individuals acting in a personal capacity. Each individual who accesses the Portal must be an Authorized User as defined in the MSA. You are responsible for ensuring that all individuals who access the Portal through your Customer Account qualify as Authorized Users. Access to and use of the Portal may be subject to geographic restrictions, including applicable export control and sanctions laws. You represent and warrant that you and your Authorized Users are not located in, and will not access the Portal from, any jurisdiction where applicable law would prohibit access.

  2. Use of Credentials. “Portal Credentials” are the credentials that Authorized Users use to sign into and use the Portal, including passwords and email addresses. You agree to provide us with accurate, complete, and current registration information. We may assume that any communications we receive from your account (the “Customer Account”) came from you.

  3. Security of Credentials. You are fully responsible for all activities that occur in your Customer Account. You will: (i) keep your Portal Credentials confidential and secure; (ii) not share them with any third party; (iii) not access the Portal by any means other than your Portal Credentials; and (iv) exit the Portal at the end of each session. Portal Credentials are the exclusive property of YipitData, and your access to and use of them are at our sole discretion.

  4. Unauthorized Access. You agree to notify us immediately of any unauthorized access to your Customer Account, unauthorized use of your Portal Credentials, or any other breach of security related to the Portal.

  5. Suspension. We reserve the right to suspend, terminate, or disable your Portal Credentials or access to the Portal at any time, with or without notice, if: (i) in our opinion, you have violated this Policy; (ii) in our opinion, your use of the Portal would cause a real risk of harm or loss to us or other users; or (iii) your Customer Account is no longer active.

2. Prohibited Activities.

The restrictions on the use of Products in your MSA also apply to your use of the Portal. In addition, you expressly agree not to:

  1. Modify, translate, reverse engineer, disassemble, reconstruct, decompile, copy, or create derivative works of the Portal or the Products;

  2. Use any robot, spider, or other automatic or programmatic device, process, or means to access the Portal for any purpose, including scraping, monitoring, or copying any of the material or Products on the Portal;

  3. Use any manual process to monitor or copy any of the material or Products on the Portal, unless expressly authorized on the Portal or with our prior written consent;

  4. Remove or destroy any copyright notices, proprietary markings or confidentiality notices from the Portal or any Product;

  5. Disclose your Portal Credentials to any third party;

  6. Upload, post or otherwise introduce to the Portal any content that contains viruses, malware, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material;

  7. Circumvent technological measures intended to prevent access to the Portal;

  8. Use the Portal in any way that could disable, overburden, damage, or impair the Portal, that could interfere with any other party's use or enjoyment of the Portal, or that may harm YipitData or users of the Portal or expose them to liability (in all cases, as we determine in our sole discretion);

  9. To the extent you have subscribed to any Products covered by an AI Addendum to your MSA, permit any Authorized User (i) who is designated as a “covered person” as such terms are defined in 28 CFR part 202 or (ii) who is located within a “covered country” terms are defined in 28 CFR part 202, to access the Portal; or

  10. Otherwise interfere or attempt to interfere with the proper working of the Portal.

3. Data Collection.

  1. Usage Data. When you use the Portal, YipitData may collect data such as account information, settings, billing history, usage details, operational status, authentication details, quality and performance metrics, and other technical details necessary for YipitData to operate and maintain the Portal (“Usage Data”). You acknowledge that YipitData uses Usage Data to operate, develop, and improve the Portal, Products, and other services. YipitData will not disclose Usage Data externally unless it is (a) de-identified so that it does not identify you, your Authorized Users or any other person and/or (b) aggregated with data from other customers.

  2. Personal Data. We may collect and process your personal information when you use the Portal and our Products. For details, please refer to our Privacy Notice.

  3. Activity Monitoring. YipitData uses technical and administrative controls to monitor, log, and audit user activity in the Portal. These controls include tracking of: login and authentication events, session activity, data access and export actions, configuration changes, and API usage, among other things. Monitoring is conducted to detect security threads, prevent fraud, ensure regulatory compliance and system integrity, and investigate suspected policy violations, among other reasons.

  4. Consent. By using the Portal, you expressly consent to all monitoring and data collection described in this section, which is conducted and retained in accordance with our Privacy Notice.
